UNINCORPORATED NONPROFIT ASSOCIATIONS

An "unincorporated nonprofit association" (UNA) is a private, non-statutory entity of two or more coming together for any mutual, lawful purpose. UNAs are founded on the ability for women and men to freely associate, contract, and wield their (Creator-endowed) liberty as they see fit, exempt from extraneous restraint, coercion, control or undue interference from external authorities or jurisdictions.


This means UNAs can be used for a range of life-affirming purposes, including those which are educational, spiritual, charitable, inspirational, creative, community-minded, family, or even business functions operating outside federally-privileged activities (and control).


"Unincorporated" = "private".
And "private" means it falls under Equity Jurisdiction.

Unlike corporations, LLCs, partnerships, and various (statutory) trusts — which remain tied to social security numbers and statutory jurisdictions — UNAs are created by private agreement and, thus, are exempt from the incorporated requirements the majority of us are so accustomed with.

  • Certified: Certified registration with the California Secretary of State.


  • Privacy: The Association is not publicly listed (even when certified).


  • Control : Officers of a UNA have final say over all transactions and activities related to Association assets, accounts, and purposes.

  • Asset Management: There is no limit on a UNA's ability to own (real or personal) property, e.g. financial / bank accounts, cars, homes, etc.).

  • Ease: Assets can be easily managed, controlled, transferred, and sold on behalf of the Association, while not being subject to capital gains taxes, fees, filing requirements, probate.


  • Documentation: Minimal paperwork needed.

 

  • Minimal Ongoing Costs: Lifetime registration with no annual fees.

The characteristics of an unincorporated association in common law jurisdictions arise almost exclusively from case law, rather than from legislation.
Their legal basis is the general law of contract (including contracts of agency), which governs the agreements the members make with each other. Unincorporated associations are therefore entirely private concerns.

18035. (a) “Unincorporated association” means an unincorporated group of two or more persons joined by mutual consent for a common lawful purpose, whether organized for profit or not.
18105. An unincorporated association may, in its name, acquire, hold, manage, encumber, or transfer an interest in real or personal property.
18065. A member, director, or agent of a nonprofit association is not liable for a debt, obligation, or liability of the association solely by reason of being a member, director, officer, or agent.
