Unincorporated (Nonprofit) Associations

An "unincorporated nonprofit association" (UNA) is a private, non-statutory entity of two or more living, sentient beings coming together for any lawful purpose. They are also a simple, lawful way to wield a 9-digit entity in today's realm, one that may be certified (and protected) by the California Secretary of State, and one without any tax filing requirements with the IRS. UNAs are founded on the ability for women and men to freely associate, contract, and wield their (Creator-endowed) liberty as they see fit, exempt from extraneous restraint, coercion, control or undue interference from external authorities or jurisdictions.

This means UNAs can be used for spiritual, educational, charitable, inspirational, administrative, creative, family, or even business functions, operating outside federally-privileged activities (and control).

"Unincorporated" = "private".
(And "private" means it falls under Equity Jurisdiction.)

"No State shall pass any Law impairing the Obligation of Contracts..."

Unlike corporations, LLCs, partnerships, and various trusts — which remain tied to social security numbers and statutory jurisdictions — UNAs are created by private agreement and do not need to file tax returns or be subject to filings, fees, registrations, etc.

  • Tax Exempt EIN Number: IRS assigned "CP 575 E" EIN number;

  • Certified: Certified registration with the California Secretary of State;

  • Control : As an officer of the association, you have final say over all transactions and activities related to Association assets and accounts;

  • Privacy: The Association is not publicly listed;

  • Asset Management: Assign "ownership" of property (financial / bank accounts, car, house, etc.) to the Association to limit / eliminate personal liability;

  • Ease: Assets can be easily managed, controlled, transferred, and sold on behalf of the Association, while not being subject to taxes, fees, filing requirements;

  • Documentation: Minimal paperwork needed, i.e. Articles and Bylaws + Banking Resolution Minutes;

  • Minimal Ongoing Costs: Lifetime registration with no annual fees (LLC’s are $800+ per year);

Unincorporated association. Voluntary group of persons, without a charter, formed by mutual consent for purpose of performing common enterprise.

Wikipedia : "Unincorporated Association"
The characteristics of an unincorporated association in common law jurisdictions arise almost exclusively from case law, rather than from legislation.
Their legal basis is the general law of contract (including contracts of agency), which governs the agreements the members make with each other. Unincorporated associations are therefore entirely private concerns.
[NOTE: While the laws governing unincorporated nonprofit associations vary from state to state, the following states regard unincorporated nonprofit associations as legal entities separate from their members: California, Alabama, Arkansas, Colorado, Washington DC, Hawaii, Idaho, Illinois, Iowa, Kentucky, Louisiana, Nevada, North Carolina, Pennsylvania, Texas, Wisconsin, and Wyoming.]

California Corporations Code
Title 3 - Unincorporated Association
18035. (a) “Unincorporated association” means an unincorporated group of two or more persons joined by mutual consent for a common lawful purpose, whether organized for profit or not.
18105. An unincorporated association may, in its name, acquire, hold, manage, encumber, or transfer an interest in real or personal property.
18065. A member, director, or agent of a nonprofit association is not liable for a debt, obligation, or liability of the association solely by reason of being a member, director, officer, or agent.
